Terms of Service

1. Acceptance of Terms

By signing up for Atto Mind Lab, accessing our software, or checking the consent box during registration, you enter into a legally binding contract with us. These terms are compliant with the Indian Contract Act 1872 and the Information Technology Act 2000 (as amended).

You must be at least 18 years old or be an authorized representative of a registered business entity to use our services. If we modify these terms, we will email you. Continuing to use the software constitutes your acceptance of the new terms.

2. Description of Services

Atto Mind Lab provides B2B software-as-a-service (SaaS) products for Indian businesses:

• Atto-HR: Cloud-based human resources, payroll processing, and compliance management.
• Atto-Works: Cloud-based operations, project tracking, and ERP tailored for joinery and execution firms.

Available features depend on your specific subscription plan. While we strive for a 99.5% monthly uptime target, uninterrupted service is not unconditionally guaranteed due to the nature of cloud infrastructure.

3. Account Registration and Security

You agree to provide accurate and complete information during registration. You are strictly responsible for maintaining the confidentiality of your account credentials. We highly recommend enabling Two-Factor Authentication (2FA).

You must notify us immediately of any unauthorized use. Each subscription is licensed to a single company entity (tenant) unless a specific multi-tenant enterprise agreement is signed.

4. Subscription and Payment

We operate on a transparent billing model:

• Free Trial: We offer a 14-day free trial requiring no credit card upfront.
• Billing: Subscriptions are billed monthly in advance. An 18% GST applies to all Indian transactions.
• Methods: We accept UPI, credit/debit cards, and Net Banking via our payment partner, Razorpay.
• Failed Payments: We provide a 7-day grace period for failed payments, after which your account may be temporarily suspended.
• Price Changes: We will give you a minimum of 30 days' written notice before any pricing changes apply to your account.

Partial month refunds are not provided (please refer to our Refund Policy for details).

5. User Content and Data

You retain 100% ownership of all business data, employee records, and project details you upload to our platform. By using the service, you grant us a limited license to process this data exclusively for the purpose of delivering the software features to you.

Our team will never access your sensitive employee or financial data without your explicit, written permission (usually required only for technical support). You can export your data at any time via the platform settings.

6. Prohibited Use

While using Atto Mind Lab, you agree NOT to:

• Reverse engineer, decompile, or attempt to extract the source code of our software.
• Use automated scripts, bots, or scraping tools to access the platform.
• Upload illegal content, malware, or use the service for harassment.
• Resell or provide multi-tenant access to third parties without our written consent.

Violation of these rules will result in immediate account suspension and potential legal action.

7. Intellectual Property

Atto Mind Lab retains all ownership rights, trademarks, and copyrights to the software, code, UI/UX, and algorithms. You own your uploaded data, configurations, and generated reports.

If you provide feedback, bug reports, or feature suggestions, we hold the right to implement them into the software without compensation to you.

8. Confidentiality

Both Atto Mind Lab and your business agree to keep all proprietary information confidential. This excludes information that is already public, independently developed, or legally required to be disclosed by a court or government authority.

9. Limitation of Liability

To the maximum extent permitted by Indian law, Atto Mind Lab is liable only for direct damages. Our total liability will be strictly capped at the total subscription fees you paid us in the three (3) months preceding the incident.

We are not liable for indirect damages, consequential losses, or loss of profits. Furthermore, we are not liable for force majeure events (natural disasters, internet backbone outages, government actions).

However, under the Consumer Protection Act 2019, we do not exclude liability for fraud, gross negligence, or statutory consumer rights violations.

10. Indemnification

You agree to indemnify and hold Atto Mind Lab harmless against any legal claims, damages, or government fines arising from your misuse of the platform, IP infringement, or failure to comply with labor/tax laws using our software.

11. Termination

You may cancel your subscription at any time. Upon cancellation, you will have 30 days to export your data. We may terminate your account for severe violations of these terms or for non-payment exceeding 30 days. Post-termination, your data will be permanently deleted per our Privacy Policy.

12. Governing Law and Dispute Resolution

These terms, and this policy, are governed strictly by the laws of India. Specifically:

• Jurisdiction: Exclusive jurisdiction belongs to the courts of Pune, Maharashtra.
• Arbitration: Commercial disputes may be resolved via arbitration under the Arbitration and Conciliation Act 1996, seated in Pune, conducted in English.
• Consumer Disputes: If applicable, you retain the right to approach the Consumer Forums under the Consumer Protection Act 2019.

13. Third-Party Services

Our platform integrates with third-party infrastructure (e.g., Razorpay for payments, AWS for hosting, WhatsApp Business API for messaging). Your interaction with these components is also subject to their respective independent terms of service.
